1. Introduction

These Terms and Conditions ("Terms") govern your use of the SpotBooks platform ("Service"), operated by Ready Invoices Establishment ("Company", "we", "us", or "our"), a commercial establishment registered in the Kingdom of Saudi Arabia.

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

١. المقدمة

تحكم هذه الشروط والأحكام ("الشروط") استخدامك لمنصة سبوت بوكس ("الخدمة")، التي تشغّلها مؤسسة الفواتير الجاهزة ("الشركة" أو "نحن")، وهي مؤسسة تجارية مسجّلة في المملكة العربية السعودية.

بإنشاء حساب أو استخدام خدمتنا، فإنك توافق على الالتزام بهذه الشروط. إذا لم توافق، لا يحق لك استخدام الخدمة.

2. Service Description

SpotBooks is a cloud-based enterprise resource planning (ERP) platform that provides:

• Invoicing and billing management
• ZATCA (Zakat, Tax and Customs Authority) e-invoicing compliance
• Inventory management
• Point of sale (POS) functionality
• Accounting and financial reporting
• Contact and vendor management

٢. وصف الخدمة

سبوت بوكس هي منصة سحابية لتخطيط موارد المنشآت (ERP) توفر:

• إدارة الفواتير والفوترة
• الامتثال للفوترة الإلكترونية لهيئة الزكاة والضريبة والجمارك (زاتكا)
• إدارة المخزون
• نقاط البيع (POS)
• المحاسبة والتقارير المالية
• إدارة العملاء والموردين

3. Account Registration

• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 18 years old to create an account.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.

٣. تسجيل الحساب

• يجب عليك تقديم معلومات دقيقة وكاملة أثناء التسجيل.
• أنت مسؤول عن الحفاظ على سرية بيانات حسابك.
• يجب أن يكون عمرك 18 عامًا على الأقل لإنشاء حساب.
• أنت مسؤول عن جميع الأنشطة التي تتم من خلال حسابك.
• يجب عليك إخطارنا فورًا بأي استخدام غير مصرح به لحسابك.

4. Subscription and Payments

• Access to the Service may require a paid subscription.
• Subscription fees are billed in advance on a monthly or annual basis.
• All fees are quoted in Saudi Riyals (SAR) unless otherwise stated.
• We reserve the right to modify pricing with 30 days' advance notice.
• Refunds are handled in accordance with applicable Saudi consumer protection regulations.

٤. الاشتراك والمدفوعات

• قد يتطلب الوصول إلى الخدمة اشتراكًا مدفوعًا.
• يتم دفع رسوم الاشتراك مقدمًا على أساس شهري أو سنوي.
• جميع الرسوم بالريال السعودي (SAR) ما لم يُذكر خلاف ذلك.
• نحتفظ بالحق في تعديل الأسعار مع إشعار مسبق قبل 30 يومًا.
• تتم معالجة المبالغ المستردة وفقًا لأنظمة حماية المستهلك السعودية المعمول بها.

5. User Obligations

You agree to:

• Use the Service only for lawful business purposes.
• Comply with all applicable laws and regulations, including ZATCA requirements.
• Not attempt to interfere with, compromise, or disrupt the Service.
• Not reverse engineer, decompile, or disassemble any part of the Service.
• Not use the Service to store or transmit malicious code or unauthorized data.
• Ensure that your use of the Service complies with applicable tax laws.

٥. التزامات المستخدم

أنت توافق على:

• استخدام الخدمة لأغراض تجارية مشروعة فقط.
• الامتثال لجميع القوانين واللوائح المعمول بها، بما في ذلك متطلبات زاتكا.
• عدم محاولة التدخل في الخدمة أو تعطيلها أو اختراقها.
• عدم إجراء هندسة عكسية أو تفكيك أو فك تجميع أي جزء من الخدمة.
• عدم استخدام الخدمة لتخزين أو نقل أكواد ضارة أو بيانات غير مصرح بها.
• ضمان امتثال استخدامك للخدمة للقوانين الضريبية المعمول بها.

6. Data and Content

• You retain ownership of all data you submit to the Service ("Your Data").
• You grant us a limited license to process Your Data solely to provide the Service.
• You are responsible for the accuracy and legality of Your Data.
• We will not sell, share, or use Your Data for purposes other than delivering the Service.

٦. البيانات والمحتوى

• تحتفظ بملكية جميع البيانات التي ترسلها إلى الخدمة ("بياناتك").
• تمنحنا ترخيصًا محدودًا لمعالجة بياناتك فقط لتقديم الخدمة.
• أنت مسؤول عن دقة بياناتك وقانونيتها.
• لن نبيع أو نشارك أو نستخدم بياناتك لأغراض أخرى غير تقديم الخدمة.

7. ZATCA Compliance

• The Service provides tools to assist with ZATCA e-invoicing compliance. However, compliance with ZATCA regulations remains your sole responsibility.
• We do not guarantee that the Service will meet all ZATCA requirements at all times, as regulations may change.
• You are responsible for maintaining valid ZATCA credentials and certificates.

٧. الامتثال لزاتكا

• توفر الخدمة أدوات للمساعدة في الامتثال للفوترة الإلكترونية لزاتكا. ومع ذلك، يبقى الامتثال لأنظمة زاتكا مسؤوليتك وحدك.
• لا نضمن أن الخدمة ستلبي جميع متطلبات زاتكا في جميع الأوقات، حيث قد تتغير اللوائح.
• أنت مسؤول عن الحفاظ على بيانات اعتماد وشهادات زاتكا الصالحة.
